Comprehensive Terms of Service, Liability Waiver, Release & Indemnification Agreement

IMPORTANT: THIS IS A LEGALLY BINDING AGREEMENT. BY PURCHASING, BOOKING, SIGNING, OR PARTICIPATING IN ANY SERVICE PROVIDED BY SOLÈNE PILATES, YOU ARE WAIVING CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE.

This Agreement applies to all clients, members, guests, drop‑ins, private session participants, workshop attendees, and any individual present at Solène Pilates ("Client").

For purposes of this Agreement, "Solène Pilates" means Solène Pilates LLC, a Massachusetts limited liability company, including its sole member Miaya Colglazier, along with its instructors, employees, independent contractors, volunteers, agents, affiliates, landlords, and representatives (collectively, "Released Parties").

1. ASSUMPTION OF ALL RISKS

Client understands that Pilates (including Reformer, Mat, apparatus work, strength training, stretching, workshops, and related fitness activities) involves inherent and significant risks of injury including, but not limited to:

• Muscle strains and tears
• Ligament injuries
• Back and spinal injury
• Falls
• Equipment malfunction
• Dizziness or fainting
• Aggravation of pre‑existing conditions
• Serious bodily injury, disability, or death

Client voluntarily and knowingly assumes ALL risks, known and unknown, foreseeable and unforeseeable, even if arising from the negligence of the Released Parties, to the fullest extent permitted under Massachusetts law.

2. MEDICAL REPRESENTATION & FITNESS TO PARTICIPATE

Client represents and warrants that:

• They are physically fit to participate.
• They have consulted a physician if necessary.
• They will disclose any injuries, pregnancy, medical conditions, limitations, or concerns prior to participation.
• They will immediately stop participation if experiencing pain, dizziness, or discomfort.

Solène Pilates is not a medical provider and does not provide medical advice.

3. FULL RELEASE OF LIABILITY (INCLUDING NEGLIGENCE)

To the maximum extent allowed under the laws of the Commonwealth of Massachusetts, Client hereby RELEASES, WAIVES, DISCHARGES, AND COVENANTS NOT TO SUE the Released Parties from any and all liability, claims, demands, damages, losses, costs, or causes of action arising out of or related to participation, including those caused by the NEGLIGENCE of the Released Parties.

This Release includes, but is not limited to:

• Personal injury claims
• Property damage
• Economic loss
• Emotional distress
• Wrongful death claims

Client agrees that this Release is intended to be as broad and inclusive as permitted by Massachusetts law.

4. INDEMNIFICATION & HOLD HARMLESS

Client agrees to INDEMNIFY, DEFEND, AND HOLD HARMLESS the Released Parties from and against any and all claims, liabilities, damages, legal fees, and expenses arising out of:

• Client’s participation
• Client’s negligence
• Damage caused by Client to studio property or equipment
• Claims brought by third parties related to Client’s conduct

This indemnification provision survives termination of membership or participation.

5. LIMITATION OF LIABILITY

In no event shall the Released Parties be liable for indirect, incidental, special, consequential, or punitive damages.

To the extent liability cannot be fully waived under Massachusetts law, Client agrees that total damages shall not exceed the amount paid by Client to Solène Pilates in the thirty (30) days preceding the claim.

6. REFORMER & EQUIPMENT ACKNOWLEDGMENT

Client understands that Reformer and apparatus equipment involve springs, moving platforms, straps, and mechanical components that create additional risk. Client agrees to:

• Use equipment only as instructed
• Follow all safety cues
• Not modify equipment
• Immediately report malfunction

Improper use may result in serious injury.

7. PREGNANCY & SPECIAL CONDITIONS

Clients who are pregnant, postpartum, recovering from injury, or managing medical conditions participate at their own risk and confirm they have received medical clearance when appropriate.

8. PROPERTY DAMAGE

Client agrees to be financially responsible for any damage caused to studio property, reformers, or equipment due to misuse, negligence, or intentional conduct.

9. PAYMENT, CANCELLATIONS & FEES

Late Cancel Fee: $20
No Show Fee: $20

Credit packages may result in loss of credit and/or fee per studio policy.

Memberships renew automatically unless canceled in accordance with written studio policy.

All sales are final unless otherwise required by law.

Client authorizes Solène Pilates to charge any valid payment method on file for fees owed.

10. PHOTO & MEDIA RELEASE

Client grants Solène Pilates permission to use photographs or video taken in the studio for marketing and promotional purposes unless written notice of opt‑out is provided.

11. CODE OF CONDUCT

Solène Pilates reserves the right to refuse service, remove participants, or terminate memberships for behavior deemed unsafe, inappropriate, threatening, or disruptive. No refund will be provided in such cases.

12. DISPUTE RESOLUTION – MANDATORY ARBITRATION

Any dispute arising out of or relating to this Agreement or participation at Solène Pilates shall be resolved through binding arbitration in Hampden County, Massachusetts, in accordance with the rules of the American Arbitration Association.

Client waives the right to:

• Trial by jury
• Participation in a class action lawsuit
• Consolidated or representative claims

Each claim must be brought individually.

13. SEVERABILITY

If any provision of this Agreement is found unenforceable under Massachusetts law, the remaining provisions shall remain in full force and effect.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts.

BY PURCHASING, BOOKING, OR PARTICIPATING IN SERVICES, CLIENT ACKNOWLEDGES THAT THEY HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND VOLUNTARILY AGREE TO BE LEGALLY BOUND.

Privacy Policy

Solène Pilates is committed to protecting the privacy and security of client information.

1. INFORMATION COLLECTED

We may collect:
• Name
• Email address
• Phone number
• Billing information
• Booking history
• Health information voluntarily provided

2. USE OF INFORMATION

We use information to:
• Process transactions
• Manage memberships
• Send confirmations and SMS notifications
• Improve services
• Comply with legal obligations

We do not sell personal information.

3. SMS CONSENT

By providing a phone number, Client consents to receive transactional SMS related to bookings, waitlists, and studio operations. Message and data rates may apply.

4. DATA SECURITY

We use commercially reasonable safeguards. However, no system guarantees absolute security.

5. THIRD‑PARTY PROCESSORS

We utilize third‑party booking and payment providers. Their policies govern their data handling practices.

6. CLIENT RIGHTS

Clients may request access, correction, or deletion of personal information where required by law.

7. POLICY UPDATES

We may update this Privacy Policy at any time. Updates will be posted with a revised effective date.
